These Terms of Service ("Terms") govern your use of the nextspace digital marketplace platform and services provided by nextspace B.V., a company registered in the Netherlands. By accessing or using our services, you agree to be bound by these Terms.
Acceptance of Terms
By creating an account, accessing our platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you must not use our services. These terms constitute a legally binding agreement between you and nextspace B.V.

nextspace B.V. is a Dutch company (registration number 53829614, VAT number NL846592037B01) operating a digital marketplace platform that connects buyers and sellers across European markets. Our registered office is located at Kerkstraat 235, 4891 DJ Breda, North Brabant, Netherlands.
Service Description
nextspace provides a digital marketplace platform that enables businesses to list products, manage inventory, process transactions, and connect with customers. Our services include marketplace hosting, payment processing, analytics tools, and customer support. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.
User Accounts and Registration
To use our services, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Providing truthful and up-to-date information
- Ensuring you have the authority to enter into these Terms
User Obligations and Conduct
When using nextspace services, you agree to:

Intellectual Property
The nextspace platform, including all software, content, trademarks, and intellectual property, is owned by nextspace B.V. and protected by Dutch and international copyright laws. You are granted a limited, non-exclusive license to use our platform for its intended purpose. You retain ownership of content you upload but grant nextspace a license to use, display, and distribute such content as necessary to provide our services. You must not copy, modify, distribute, or reverse engineer any part of our platform without written permission.
Payment Terms
Service fees are charged according to our published pricing schedule. Payments are processed securely through our approved payment partners. You authorize nextspace to charge your designated payment method for all applicable fees. Refunds are provided according to our refund policy. We reserve the right to suspend services for non-payment after appropriate notice.
Data Protection and Privacy
Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms. We comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws. By using our services, you consent to our data processing practices as described in our Privacy Policy.
Limitation of Liability
To the maximum extent permitted by Dutch law, nextspace B.V. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability for any claim shall not exceed the amount paid by you for our services in the twelve months preceding the claim. We provide our services "as is" without warranties of any kind, express or implied. This limitation applies to all claims, whether based on contract, tort, or any other legal theory.
Indemnification
You agree to indemnify and hold harmless nextspace B.V., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
Termination
Either party may terminate this agreement at any time with thirty days' written notice. nextspace may immediately suspend or terminate your access for violation of these Terms, illegal activity, or non-payment of fees. Upon termination, you must cease using our services, and we may delete your account and data according to our data retention policy. Sections relating to intellectual property, limitation of liability, and governing law shall survive termination.
Force Majeure
nextspace shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or other force majeure events. We will make reasonable efforts to notify you of such circumstances and resume normal operations as soon as possible.
Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through email or platform notifications at least thirty days before taking effect. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue using our services.
Governing Law
These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of the Netherlands. For consumer transactions, you may also have rights under the laws of your country of residence.
Dispute Resolution
We encourage resolving disputes through direct communication. If a dispute cannot be resolved informally, it may be submitted to binding arbitration under the rules of the Netherlands Arbitration Institute (NAI), conducted in English in Amsterdam, Netherlands. Notwithstanding the foregoing, either party may seek injunctive relief in court for intellectual property violations or breaches of confidentiality.
Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
